Harrison Tucker is a partner in the Houston office of Gibson, Dunn & Crutcher, where he currently practices with the firm’s Capital Markets and Securities Regulation and Corporate Governance practice groups. He regularly represents public and private businesses in a broad range of corporate and securities matters and issuers and investment banking firms in both equity and debt offerings, including Rule 144A offerings. His practice also includes general corporate concerns, including Exchange Act reporting, stock exchange compliance, corporate governance and beneficial ownership reporting matters. In addition, he works closely with the Gibson Dunn bankruptcy and restructuring team, advising on applicable securities laws issues.

His recent and ongoing experience includes advising:

  • Excelerate Energy, Inc., a U.S.-based flexible LNG solutions provider, in its initial public offering
  • Petco Health and Wellness Company, Inc., a brick-and-mortar and online retailer focused on providing products and services to improve the health and wellness of pets, in its initial public offering
  • Evergreen Coast Capital Corporation, an affiliate of Elliott Investment Management L.P., and a private equity consortium in a high yield 144A bond offering in connection with the acquisition of Nielsen Holdings plc, a marketing services company providing demand analysis, product development, sales measurement and promotion strategies
  • Oaktree Capital Management in an ESG-aligned asset backed securitization of certain co-owned producing natural gas and oil assets located in Oklahoma
  • Ranger Oil Corporation, an Eagle Ford shale focused E&P company, in a high yield 144A bond offering using an escrow issuer structure to finance its acquisiton of Lonestar Resources
  • An ad hoc group of cross-holders in the prepackaged chapter 11 reorganization proceeding of Venator Materials PLC, a leading global producer of TiO2 manufactuer of higher value-added functional additives, color pigments and timber treatment chemicals
  • An ad hoc group of secured lenders in connection with the chapter 11 reorganization proceeding of National Cinemedia, a cinema advertiser

Harrison received his J.D. from the University of Houston Law Center in 2008, where he was elected to the Order of the Coif and Order of Barons.  While in law school, he served as a Member of the Houston Law Review.  Prior to law school, he graduated from Texas A&M University in 2005, where he received his B.A. in history and was elected to Phi Beta Kappa.

Harrison maintains an active pro bono practice. For example, he has represented U.S. military veterans though the National Veterans Legal Service Program in seeking discharge upgrades and enhanced disability compensation. He is also active in the Houston Volunteers Lawyers program sponsored by the Houston Bar Association.
