Xuanyi Liu

Associate Attorney

Xuanyi Liu is an associate in the Singapore office of Gibson, Dunn & Crutcher. He is a member of the firm’s Investment Funds Practice Group.

Xuanyi specializes in the formation of private funds across all strategies (including buyout, growth, VC, real estate, credit, climate and digital asset funds), as well as separate accounts, clubs, platforms and co-investment programs.  As part of his practice, Xuanyi counsels sponsors on fund management JVs, team spinouts, upper-tier structuring, carried interest plans and regulatory matters.

Xuanyi has extensive experience in fund secondaries and liquidity solutions.  He regularly advises on both GP-led secondaries (including continuation funds, preferred equity deals, NAV financings, strip sales and conversions into open-end structures) and traditional LP portfolio sales.  On the GP-led front, Xuanyi has advised on transactions in China, India, Japan, Korea and Southeast Asia, notably including the largest-ever deal in Asia (nominated “Private Equity Deal of the Year” at the Asia Legal Awards), the first-ever deal in Japan (named “Top 5 Secondaries Deals of the Year” by Secondaries Investor), complex multi-asset and multi-fund deals in India and China, and transactions involving first-in-market use of full coverage RWI.

Xuanyi is recognized as a Rising Star for Singapore: Investment Funds by The Legal 500 Asia Pacific, where he was commended as a “top-tier lawyer” and described by a client as a “stand-out individual” who is “experienced and practical in giving advice”.

Before relocating to Gibson Dunn’s Singapore office, Xuanyi was based in the firm’s Hong Kong office.

He received his Bachelor of Laws (summa cum laude) and Bachelor of Business Management (summa cum laude) from the Singapore Management University, where he was a member of the Dean’s List and Beta Gamma Sigma.

Xuanyi is admitted to practice in Singapore. He is fluent in English and Mandarin.
