BIOGRAPHY

​​Stephen Herndon is an associate in the Los Angeles office of Gibson, Dunn & Crutcher.  He is a member of the firm’s Private Equity, Mergers and Acquisitions, Media, Entertainment and Technology, and Securities Regulation and Corporate Governance Practice Groups.

Mr. Herndon’s practice encompasses a variety of private and public corporate transactions, including mergers and acquisitions, equity investments, and joint ventures.

Representative transactions:

  • Aurora Capital Partners in its acquisition of Pace Analytical Services, an industry-leading sampling and analytical testing firm.
  • Aurora Capital Partners in its disposition of Industrial Container Services, LLC.
  • Aurora Capital Partners in its disposition of Market Track, a provider of marketing and promotions intelligence services.
  • Array Technologies in its acquisition by Oaktree Capital’s GFI Energy Group.
  • Jack in the Box Inc. in its sale of its Qdoba Mexican Eats fast-casual Mexican food brand to an affiliate of Apollo Global Management LLC.
  • Levity Live, an operator of live comedy venues in the United States, in the sale of a majority ownership stake to AMC Networks.
  • Mattco Forge, Inc., a maker of forged metal products for the aerospace & defense industry, in its sale to Blue Point Capital Partners.
  • Platinum Equity in the acquisition of Interior Logic Group and Criterion Brock.
  • The Rubicon Project (now known as Magnite) in its strategic merger with Telaria, Inc. to create the largest independent sell-side ad tech platform.
  • Stone Canyon Industries Holdings in connection with its formation and initial $1.8 billion equity offering.
  • WndrCo, LLC in its acquisition of the maker of a popular VPN app.

​Mr. Herndon earned his Juris Doctor degree from Stanford Law School in 2015.  He graduated cum laude from the University of Nevada, Las Vegas, with a Bachelor of Arts degree in Political Science.  Prior to attending law school, Mr. Herndon was a Casino Surveillance Agent specializing in advantage player analysis and game protection.

Mr. Herndon is a member of the California Bar, and is admitted to practice before the United States District Court, Central District of California
